01. Acceptance of terms
By accessing or using the services provided by Biz E-Formations Inc ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
02. Our services
We provide company formation, banking introduction, payment processor onboarding, tax ID registration, and ancillary business support services across multiple jurisdictions. Specific services depend on the package you purchase.
We act as your filing agent and intermediary. We are not a law firm, accountancy firm, or bank, and we do not provide legal, tax, or financial advice.
03. Eligibility
To use our services you must be at least 18 years old and legally capable of entering into binding contracts. You must not be subject to economic sanctions, on watch lists, or located in jurisdictions under embargo.
We may decline to onboard any client at our sole discretion — for example, if our compliance review identifies elevated risk, sanctions exposure, or a prohibited business activity.
04. Your obligations
You agree to provide accurate, complete, and current information during onboarding and throughout the lifecycle of our services. Providing false information may result in termination of services without refund and reporting to relevant authorities.
You are solely responsible for ensuring your business activities comply with all applicable laws — including but not limited to tax filings, employment regulations, consumer protection rules, and licensing requirements in the jurisdictions where you operate.
05. Payments and fees
All fees are payable in advance unless otherwise agreed in writing. Government fees, third-party charges, and pass-through expenses are itemized separately from our service fees.
Recurring services (e.g. registered agent, address services, compliance packages) auto-renew annually unless cancelled at least 30 days before the renewal date.
06. Service timelines
We provide estimated timelines as a guide, not a guarantee. Actual processing times depend on government registries, banks, and other third parties outside our control. We will keep you informed throughout.
07. Refunds
Our refund policy is published separately on our Refund Policy page and forms part of these Terms. In short: if we cannot deliver what you ordered, you receive a full refund. Once government fees have been paid or third-party services initiated, those amounts are non-refundable.
08. Limitation of liability
To the maximum extent permitted by law, our aggregate liability under any service is limited to the fees paid by you to us for that specific service in the prior 12 months.
We are not liable for indirect, consequential, special, or incidental damages — including loss of profits, business opportunities, or reputational harm.
09. Intellectual property
All content on our website, including text, graphics, logos, and software, is owned by us or our licensors and protected by intellectual property laws. You may not reproduce, modify, or distribute our content without prior written consent.
10. Termination
You may terminate your relationship with us at any time by giving written notice. We may terminate the relationship with notice if you breach these Terms, fail to pay, or pose a compliance risk.
Upon termination, you remain responsible for any outstanding fees, and we will provide reasonable transition assistance to a new agent.
11. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Disputes shall be resolved in the courts of London, United Kingdom — except where mandatory consumer protection laws of your residence apply.
